These Terms of Service govern your use of the Solutionever website and any services you engage with. Please read them carefully before working with us or accessing our digital platforms.

Acceptance of Terms

By accessing the Solutionever website at solutionever.com, submitting an enquiry, booking a consultation, or engaging with any of our services, you agree to be bound by these Terms of Service and our Privacy Policy.

If you are engaging on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these terms. If you do not agree with any part of these terms, please do not use our website or engage with our services.

These terms apply to all interactions with Solutionever including website use, consultation calls, project proposals, active service engagements, and white label partnerships.

Services Provided

Solutionever Technologies provides digital marketing and operational services to businesses globally. Our core service offerings include:

Organic Marketing and SEO — Search engine optimisation, content strategy, technical SEO, and local SEO
Paid Marketing — Google Ads, Meta Ads, LinkedIn Ads, and other paid advertising campaign management
Web Development — Website design, development, landing pages, and ongoing web maintenance
AI Automation — AI agent deployment, WhatsApp automation, chatbot configuration, and workflow automation
CRM Systems — CRM setup, pipeline management, sales workflow automation, and reporting systems
White Label Services — Fulfilment of any of the above services under a partner agency's brand

The specific scope of services for each client is defined in a separate proposal, service agreement, or statement of work. These Terms of Service apply to all engagements regardless of the specific service involved.

Client Engagement

A service engagement with Solutionever begins when both parties have agreed to the scope, pricing, and terms of a project or retainer. This agreement may be documented through a formal proposal acceptance, invoice payment, or written confirmation via email or messaging platform.

Before work begins, we typically conduct a discovery call or audit to understand your goals and current position. Any information gathered during this stage is treated as confidential and is used solely to inform our proposal and service delivery.

Solutionever reserves the right to decline any engagement at its discretion, including engagements that conflict with our values, create a conflict of interest, or involve industries or activities we choose not to support.

Payment Terms

Payment terms for each engagement are outlined in the relevant proposal or invoice. Standard payment terms are as follows:

  • Project-based work typically requires a deposit of 50% before work begins, with the remaining balance due upon project completion or at defined milestones
  • Monthly retainer services are invoiced in advance at the start of each billing period
  • All invoices are due within the payment period stated on the invoice, typically 7 or 14 days from the invoice date
  • Late payments may result in a pause to active work until the outstanding balance is settled

All prices are quoted in the currency agreed upon at the time of engagement. Solutionever does not issue refunds for completed work or for monthly retainer periods that have already commenced.

Ad spend for paid marketing campaigns is separate from our management fees and is paid directly to the advertising platform by the client unless otherwise agreed in writing.

Deliverables and Timelines

Solutionever will use reasonable efforts to deliver work within the timelines agreed upon at the start of an engagement. Timelines are estimates based on the information available at the time of scoping and may be subject to change due to factors including:

  • Delays in receiving required content, assets, access credentials, or approvals from the client
  • Changes to the agreed scope requested by the client mid-project
  • Technical issues on third-party platforms outside our control
  • Force majeure events or circumstances beyond our reasonable control

Where timelines change materially, we will communicate this to the client promptly and provide a revised estimated delivery date. We are committed to transparent communication throughout every engagement.

Revision rounds for creative and development work are defined in the project scope. Additional revisions beyond the agreed number may be subject to additional fees.

Intellectual Property

Upon receipt of full payment for a project, all custom deliverables created specifically for the client transfer to the client. This includes website designs, written content, custom graphics, and other bespoke creative work produced under the engagement.

Solutionever retains ownership of:

  • Frameworks, methodologies, templates, systems, and tools developed prior to or independently of a client engagement
  • Any proprietary processes, workflows, or automation logic that form part of our standard delivery infrastructure
  • Work that has not been paid for in full

Third-party assets, fonts, stock images, software licences, and plugins used in client projects remain subject to their respective licence agreements. The client is responsible for maintaining any ongoing licences required after project handover.

Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared in the course of an engagement. This includes business strategies, financial information, client data, pricing, and any materials marked as confidential.

Solutionever will not disclose client information to any third party without explicit written permission, except where required by law or necessary for the delivery of agreed services through trusted third-party platforms.

Clients agree not to disclose Solutionever's pricing, internal processes, or proprietary methodologies to third parties without written consent.

White Label Services

For agency partners engaging Solutionever as a white label fulfilment provider, the following additional terms apply:

  • Solutionever will operate entirely under the partner agency's brand and will not contact the end client directly unless explicitly instructed to do so by the partner
  • All deliverables, reports, and communications destined for the end client will be produced under the partner agency's branding
  • The partner agency is responsible for all communications with their end clients and for ensuring that the work delivered by Solutionever meets their clients' expectations
  • The partner agency remains the data controller for any client data shared with Solutionever for fulfilment purposes
  • Solutionever will not solicit the end clients of a white label partner directly, either during or after the partnership, without explicit written consent

White label partnerships are subject to the same payment, confidentiality, and delivery terms that apply to all other engagements.

Client Responsibilities

For Solutionever to deliver services effectively, clients are expected to fulfil the following responsibilities:

  • Provide timely access to required platforms, accounts, credentials, and assets as agreed at the start of the engagement
  • Review and provide feedback on deliverables within the agreed timeframe to avoid project delays
  • Ensure that content, materials, and information provided to Solutionever do not infringe upon any third-party intellectual property rights
  • Maintain accurate and up-to-date billing information and ensure invoices are paid on time
  • Notify Solutionever promptly of any changes in business direction, target audience, or strategy that may affect the service being delivered

Solutionever cannot be held responsible for project delays, missed targets, or underperformance caused by a client's failure to meet these responsibilities.

Results and Guarantees

Solutionever is committed to delivering high-quality work and pursuing strong results for every client. However, digital marketing and business growth involve variables outside our direct control, and we do not guarantee specific outcomes such as particular rankings, revenue figures, lead volumes, or return on ad spend.

No ethical digital marketing agency can guarantee specific results. Anyone making such guarantees should be approached with caution. We make honest assessments of what is achievable and work with full commitment toward those goals.

We do guarantee the quality, professionalism, and effort applied to every engagement. If you are ever unhappy with our work, we encourage you to communicate this directly so we can resolve the issue promptly.

Limitation of Liability

To the maximum extent permitted by applicable law, Solutionever's total liability to any client for any claims arising from a service engagement shall not exceed the total fees paid by that client for the relevant service in the three months preceding the claim.

Solutionever shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages of any kind
  • Loss of revenue, profit, data, or business opportunities
  • Damages resulting from algorithm changes, platform policy updates, or third-party platform decisions
  • Losses arising from the client's own actions, errors, or failure to fulfil their responsibilities under these terms

These limitations apply regardless of the form of action and even if Solutionever has been advised of the possibility of such damages.

Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant proposal or service agreement. Standard notice periods are as follows:

  • Monthly retainers: 30 days written notice required from either party
  • Project-based work: Either party may terminate with immediate effect if the other party is in material breach and has failed to remedy that breach within 14 days of written notice

Upon termination, the client is responsible for payment of all fees for work completed up to the termination date. Solutionever will provide all completed deliverables and transfer access to all client accounts and assets upon receipt of any outstanding payments.

Solutionever reserves the right to terminate an engagement immediately and without notice in cases of non-payment, abusive conduct, or requests to engage in activities that violate applicable law or our values.

Disputes

We strongly prefer to resolve any disagreements directly and informally. If you have a concern about our work or conduct, please contact us first at hello@solutionever.com and give us the opportunity to address it.

If a dispute cannot be resolved through direct communication, both parties agree to attempt mediation before pursuing any formal legal action. These Terms of Service are governed by the laws of India, and any disputes that proceed to formal resolution shall be subject to the jurisdiction of the courts of West Bengal, India.

Changes to These Terms

Solutionever may update these Terms of Service from time to time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be communicated to active clients where reasonably practicable.

Continued use of our website or services after any changes to these terms constitutes acceptance of the updated terms. We encourage you to review this page periodically.
